General Meeting 2022: Face to face again at last

After a break brought on by the pandemic and for the first time since 2019, SUISA will hold its General Meeting at the Bierhübeli in Bern, allowing its members to participate in person and on site. On Friday, 17 June 2022, at 11 a.m., it will finally be that time again: After a musical introduction by the Bernese electro-swing group Klischée, the President of the Board, Xavier Dayer, will open this yearʼs SUISA General Meeting.

Members will be provided with information about SUISAʼs business performance in the past year and are asked to approve the 2021 annual result (–10% compared to the record year 2019) which was a sign of getting off lightly despite the pandemic. In addition to other statutory business, the securing of financing for online licensing by the subsidiary Mint Digital Services AG and a revision of the Articles of Association to improve corporate governance will also come up for discussion and resolution.

Election of substitutes and deputies, opening message and declaration according to EU Directive

After 10 years on the Board of Directors, publisher member Christian Siegenthaler (management of Patent Ochsner) decided to step down from the board. The board proposes Christian Baumgartner, management consultant and investor, as his successor.

Our new board member elected last year, State Councillor Johanna Gapany, will address the members with an opening message from politics.

Finally, in accordance with the provisions of the EU Directive on collective management organisations and the Liechtenstein Collecting Societies Act (VGG), the declarations of the members of the Board of Directors and the Executive Committee are disclosed for the first time on questions of theirparticipation in SUISA, amount of remuneration/compensation and actual or potential conflicts of interest.

Voting members welcome

The General Meeting is only open to members of the cooperative, i.e. members who are entitled to vote (see info box at the end of the text). These members will receive a written invitation with the registration documents by the end of May by mail. The invitation contains the agenda and additional information on the agenda items and business to be transacted at the General Meeting.

I hope that as many of you as possible will attend the General Meeting and, together with my colleague Irène Philipp Ziebold and my colleague Vincent Salvadé as well as other SUISA staff members, I look forward to exchanging ideas with you. Face to face again, at last.

New criteria for members who are entitled to vote
The SUISA Board of Directors decided in December 2020 to adapt the criteria for members who are entitled to vote. Authors and publishers will be admitted as members with voting rights if they have been SUISA principals for at least one year and had at least CHF 3,000 in royalties paid out to them since their registration. Previously, this amount was CHF 2,000. This change entered into force in 2021.
Furthermore, the contractual membership relationship will be reverted into a mandate relationship if members received less than CHF 3,000 in distribution payments overall for their works during the last ten years.

New features in member services of SUISA

SUISA has been enhancing its online service for years now, especially for music authors and music publishers. Self-service is key: It should be easy and comfortable for members to access all SUISA services online. This does not just save time for members: SUISA can thus also increase its efficiency and therefore distribute more money to rightsholders. In June 2021, SUISA set a milestone for its members: Thanks to graphics which are easy to understand, music authors and publishers have a quick overview of the development of their copyright revenues of the last five years now that the Royalty Report has been launched. In addition, the tool lets you run individual analyses with one mouse click.

Self-service: Constant enhancement of online services

SUISA took a major step towards self-service with these new features: Members and customers can access all of the information and services of SUISA relevant to them, as easily as possible via internet. For a few years now, SUISA has been constantly expanding its online services. Authors, publishers but also users of music will be able to use more and more services via web portals – in a simple and comfortable manner. SUISA is going to publish news about the new services via all of its channels.

Members will benefit from this on the one hand: Instead of reverting to time and cost consuming queries via phone, letter or e-mail, they can now access all details on the contractual relationship with SUISA online via their personal login to the membership portal “My account”. SUISA, on the other hand, will also benefit from this by saving time and cost for providing advice via phone, e-mail or letter. This, in turn, is an advantage to the authors and publishers because SUISA will then be in a position to pay out more to its rightsholders thanks to the costs savings made.

New criteria for members who are entitled to vote

The SUISA Board of Directors decided in December 2020 to adapt the criteria for members who are entitled to vote. Authors and publishers will be admitted as members with voting rights if they have been SUISA principals for at least one year and had at least CHF 3,000 in royalties paid out to them since their registration. Previously, this amount was CHF 2,000. This change entered into force in 2021.

Furthermore, the contractual membership relationship will be reverted into a mandate relationship if members received less than CHF 3,000 in distribution payments overall for their works during the last ten years. This amendment shall be made in line with item 5.5.4 of the SUISA Articles of Association:

5.5 Membership shall end:
[…]
5.5.4 if the remuneration distributed to a member over a ten-year period does not reach the threshold set by the Board, and the membership status reverts to a simple mandate relationship; […]

Principals shall be equal to members with voting rights with respect to financial matters. They have, just like the members, the same entitlements to licensing and distribution of the collections for the works which are broadcast, performed, reproduced or used online. They do, however, not have voting rights in the General Meeting of the Cooperative Society.

Changes to the SUISA membership structure

The reason for this change is today’s membership structure of SUISA: At the end of 2020, SUISA had more than 12,000 members entitled to vote and nearly 28,000 principals. Among these 40,000 rightsholders, only about 60% generate income from the exploitation of their works. More than a third of principals and members never receive a distribution at all because their works are neither performed, recorded, broadcast nor used online. Even among the 12,000 rightsholders with voting rights, nearly half has hardly generated any copyright revenues during the last few years.

Even though SUISA is hardly playing a major role for them in terms of income, they were entitled to vote about the future and fate of the Cooperative Society at the SUISA General Meeting. In future it should only be members for whom SUISA is a major source of income who can decide on the topics presented to the SUISA General Meeting.

Members who do not fulfil the conditions mentioned, will revert to principals without a voting right at the General Meeting. Those who are affected will receive a letter in January 2022 where they will be personally informed about this.

Benefit from the online services of SUISA and register for the membership portal “my account”: www.suisa.ch/my-account. All rightsholders, members and principals, can get information regarding their settlements and register their works or launch queries on a 24/7 basis there.

SUISA and the Covid-19 crisis

Since the end of February 2020, it’s not just the music sector that has been confronted with an unforeseen challenge. As a cooperative society for authors and publishers of music and a collective management organisation, how is SUISA dealing with the Covid-19 crisis which has been around for nearly two years? At the gala for the 13th Swiss Music Awards on 28 February 2020, of all things, the Swiss-wide restrictions of events with music kicked in. That evening, only a maximum of 1,000 people were permitted to attend the live event. Those who believed that the Covid-19 pandemic would have disappeared with the cold winter air, just like a flu virus, were soon proved wrong: From 13 March 2020, no live concerts, no parties in clubs were allowed any longer. The music business, made up of composers, performing artists, event organisers and suppliers for the event sector was forcibly deprived of its existential basis.

Meanwhile, we find ourselves in the second Covid-19 year and have been experiencing enormous difficulties when it comes to holding music events with a physical audience. How is SUISA as a cooperative society for authors and publishers of music and as a collective management organisation dealing with that?

Financial losses and unpredictability

About a month after the first lockdown had been ordered, the Executive Committee and Board of Directors of SUISA revised the budget for 2020. This so-called “Covid-19 budget” target which forecast 23% less in terms of collections and 8.5% more in terms of costs, could be met. As the annual accounts finally showed, the overall turnover losses were fortunately limited: The collections of SUISA in Switzerland and from abroad amounted to CHF 138.5m in 2020 which was 12% less than the previous record year (CHF 155.2m). Costs rose by only 1.1% compared to the previous year and therefore less dramatically as anticipated in the Covid-19 budget.

The drastic effects of the Covid-19 ordinances only become apparent when you look at the sectors individually: The decrease of the collections from concerts (–51%), entertainment events (–47%), the hospitality industry (–46%) and cinemas (–58%) is blatant compared to the 2019 results. The good results achieved for broadcasting rights, compensation claims and online usages partially offset these losses. However, rights owners whose income mainly stems from the success of live events had to face huge losses in terms of their distribution amounts.

Due to the second wave of the pandemic, all events were banned again in December 2020. Again, a Covid-19 budget had to be created where the expectations are lower yet again on the income side for the 2021 financial year: compared to 2020, 11% less. At the same time, savings of 11% in terms of costs should be achieved compared to the year before. Particularly with regard to the collections from concerts (tariff K), a further slump must be expected. The prognosis for the second Covid-19 year projects CHF 6m collections in this area. In 2020, this tariff generated CHF 11m and before the crisis in 2019, CHF 23m in remuneration for authors and publishers of music.

Two “buffers” help in this situation; they are expected to cushion the inclement framework conditions in the financial results as per the current status of the 2021 financial year: On the one hand, the situation regarding the securities investments is good. On the other hand, the money which could not be allocated to any rights owners during the last five years is used to cover costs. If possible it is paid out in the form of a supplementary distribution once this period has expired.

Relief measures for rights owners

Due to the effect of the pandemic, all collective management organisations in Europe decided to set up aid measures in favour of their rights holders. The aid measures launched by SUISA are based on three “columns”: First, advance payments on the distribution settlements with an extended payback period, second, contributions from the Covid-19 emergency fund which had been specially set up, and third and last, the emergency assistance for authors from the Pension Fund for Authors and Publishers (UVF).

These aid measures are gratefully received: Since the beginning of the Covid-19 crisis in March 2020, CHF 1,416,084 advance payments were made up to 25 October 2021. CHF 251,250 were awarded as contributions from the emergency fund and CHF 170,500 were granted as emergency assistance via the UVF fund. You can continue to submit applications via “My account”. Due to the high number of rights owners, the extent of the losses only become apparent when it comes to the distributions in the years 2021 or 2022 which will be much lower for many since the events in 2020 and 2021 could not be held. Publishing companies have the option to request advance payments or contributions from the Covid-19 emergency fund. The UVF fund emergency assistance is only possible to be granted to authors due to legal reasons.

Lobbying

Just like if you had a short circuit, the lights went out for the entire event sector regarding public performances. From one day to the next, performers, event organisers, stage technicians and other staff in the public event sector were without work and income. For authors the concert stoppage meant that their works were no longer performed live and therefore no licence fees were paid for the performance of their music any longer. The collections from live events slumped to their lowest ever as described further above. These copyright royalties are, however, an important basis for the existence of many rights owners.

The first aid measures by the Swiss Confederation were insufficient and also not really tailored to resolve the problems in the cultural sector. Lobbying therefore became rather important during the crisis. It has been and still continues to be paramount to persuade public authorities, parliaments and the government that culture is vitally important for society, just like shops for your daily needs. If, therefore, cultural performances may no longer take place due to event bans, the creatives, event organisers but also the publishers and suppliers affected must be compensated accordingly. What needs to be taken into account in such situations is that, particularly in the culture sector, many work as self-employed freelancers or in the form of small organisations, e.g. associations.

Furthermore, the understanding needs to be firmed up that there are different types of events: Studies show that there often is a lower risk of getting infected at cultural events than at large sports events or funfairs. Lobbyists have not yet managed to anchor this differentiation in the minds of the decision-makers so far. Nevertheless, the “Taskforce Culture” which had been spontaneously set up during the crisis, has achieved a lot and has become an important contact point for authorities, parliaments and the government. SUISA is a part of the extended support circle of the Taskforce.

Manage from a distance and work remotely

The Cooperative Society SUISA employs about 250 people. They share 187 full time positions. All staff whose tasks could be done by working remotely had to be sent home in the week of 16 to 23 March 2020. The IT team created the required plans for such a completely unexpected process from scratch and made sure that staff could continue to work from home on devices provided by the employer, without major difficulties.

Working in your home office, a recommendation issued by the authorities, later turned from being optional to mandatory. As such, it was not just a challenge it also entailed completely new experiences in terms of managing and organising the operations. How do you reach your co-workers and colleagues if you cannot simply pop over to the next office space if the meeting and break out rooms cannot be used?

The previously existing and used options to hold virtual meetings and one-to-one conversations via video conference were expanded. Thanks to these technical means the connection which is so important for a good collaboration between management and staff but also among colleagues could be maintained. Executive staff were trained in how to lead and manage their staff from home. Every two weeks, a web meeting with the Executive Committee, the HR manager and the IT manager took place, moderated by the communications manager. All staff could participate in this meeting and ask questions via the chat function. We thus managed to transition the collaboration “across the distance” into a daily work routine.

Business operations were functioning, thanks to the flexible, committed and disciplined staff as well as the advanced digitisation. SUISA was always available to its members and its customers. This new experience made the Executive Committee decided to also enable home office work in future, up to 50% of the work time. Home office deployments must, however, be coordinated within the teams and this cannot be carried out for some positions in the extent reflecting a maximum.

More self-service – process automation

The obligation to work from home particularly highlighted how indispensable and important digitisation has been for a collective management organisation like SUISA. Working from home is only possible if the necessary data is available electronically and extensive paper dossiers do not have to be accessed. The immense advantages in terms of availability of the required information was proven as a consequence of the digitisation of all member and customer files in the last few years. The developments in terms of computerisation further contributed that it was possible to quickly switch to working from home in a successful manner.

Customers and members of SUISA also benefited from progress for efficient and satisfying contacts with the company triggered by the digitisation. Due to the closure months for the hospitality industry and shops ordered by the authorities, many customers had requested a refund of the unusable licence for music performances. The process of refunding licence fees can now simply be triggered via a web form.

Since the middle of 2020, members can access the royalty report via “my account”. All members who have a valid online access can retrieve the up-to-date data for their works and the licences issued for them and view and arrange them according to selected criteria. More recently, the login process for members and customers was enhanced via a two-factor authentication which means that the digital business exchange with SUISA offers an even higher security standard. Further developments will follow.

The applications and digitisation projects mentioned above were only implemented in such a successful and timely manner because the staff continued to work on them at full steam and without any limitations during the pandemic. After some lengthy discussions, Executive Committee and Board of Directors had decided that SUISA would not apply for and introduce short-time work. A wise decision, as the situation which we have been experiencing since March 2020, shows more and more clearly: In a roundabout way under pressure from the authorities’ ordinances regarding the pandemic, SUISA was able to develop its services much further over the last few months. Despite the losses in collections, we are ready with digitised and automated processes to manage the music licences for event organisers and to distribute the royalties to rights owners reliably and, above all, cost-effectively.

Due to the current Covid-19 situation, SUISA had to renounce on a physical General Meeting this year, just like it had to in 2020. Instead, the General Meeting was held again in written form. SUISA members could vote by letter or e-mail again this year.

As usual, SUISA members decided on the statutory business of their Cooperative Society and the SUISA Group. They approved, among others, the annual financial account and exonerated the SUISA Board and auditing firm, BDO.

National Councillor Johanna Gapany new in the SUISA Board of Directors

The General Meeting elected National Councillor, Johanna Gapany, FDP Fribourg, to the Board of Directors to replace Géraldine Savary who had stepped down; her term of office is until 2023.

Johanna Gapany grew up in Gruyère and began her political career early on. Among other activities, she held the Presidency of the Jungfreisinnigen (Young Liberals) of the Canton Fribourg and also held the position of Vice President of the Jungfreisinnigen Switzerland. In 2019, Johanna Gapany was elected as the first woman from the Canton Fribourg into the National Council. She is Vice President of the Finance Committees member of the Science, Education and Culture Committees (WBK/SECC), the Social Security and Health Committees (SGK/SSHC) and the delegation at the inter-parliamentarian Union.

In her video message to the General Meeting, she mentioned that the reason for her candidacy for the SUISA Board was that “music has a special value, for me personally and for our culture and our country.” SUISA gained a committed politician to the Board with Johanna Gapany who intends to support the issues of music creators. In the video, she directed her message to musicians as follows: “I would like to support you so that your work is recognised. The career of a music creator should not be regarded as a whim, a child’s dream or a calling but as a real profession.”

Gapany succeeds former National Councillor Géraldine Savary (SP, VD), who had been a strong supporter of the interests of music creators over the ten years as a SUISA Board member. Savary’s postulate entitled “Does Switzerland need a law against illegal music downloads?” was the trigger for a copyright reform in 2010, and that the Swiss Copyright Act was adapted to the digital age.

Géraldine Savary now intends to dedicate her entire time to her new role as editor-in-chief of the French-speaking women’s magazine “Femina” and therefore decided to leave the SUISA Board.

SUISA’s investment rules now also take sustainability into consideration

Another item on the agenda was the general investment rules of SUISA. The SUISA Board of Directors moved to the General Meeting that the additional criterion “sustainability” should be added to the existing criteria “security” and “liquidity”. The sustainable investments are categorised in line with the ESG criteria: Environment, Social and Governance. These criteria will be taken into account for each new decision on investments.

No physical General Meeting in 2021 either

Not quite as expected, the Covid-19 pandemic prevents holding a face-to-face General Meeting again this year. The plan was that the Bierhübeli in Berne should be the venue for this year’s event on 25 June 2021. The current situation, however, allows for no reliable planning of the event and the Board of Directors has consequently decided during its meeting on 22 April 2021 that the General Meeting should be held again this year by participation via voting in writing. That way, all members entitled to vote have the opportunity to participate in the AGM without taking a health risk.

Organisational execution

From 25 May 2021 onwards, the documents for the General Meeting will be dispatched to all members entitled to vote (invitation to voting by letter, information on the General Meeting including the agenda items and the voting form). From the day you receive the documents you can complete the personalised voting form, sign it and return it to SUISA by letter no later than 25 June 2021 (25th June is the latest date of receipt).

The results of the votes are then counted by the election office headed by Dr. Bernhard Wittweiler (head of SUISA’s Legal Department).

The results of the vote and election will be formally established by the President, the Secretary, the CEO and the Head of the Legal Department on the basis of the count and published on the SUISA website on 30 June 2021.

Agenda items of this year’s General Meeting

Apart from the usual statutory business, i.e. ratification of the minutes, decisions on the financial statements, the management report and the annual report of the SUISA cooperative and the SUISA group – the General Meeting will be presented with a motion to adapt the general rules on investment and a surrogate candidate for Géraldine Savary who is stepping down from her post.

Adapting the general rules on investment

It is a matter of increasingly social concern to sustainably manage investments. SUISA is also intending to submit to this. This is why the Board of Directors decided to adapt rules on investment of SUISA by adding the criterion “sustainability”. Apart from the main objectives of the investments, i.e. security and liquidity, the criterion of “sustainability” shall now also be anchored into the general investment rules.

Pursuant to the Articles of Association, the General Meeting is responsible for the general investment policy with regards to the collected remuneration (Article 9.2.2 m).

The Board of Directors therefore proposes that the general rules on investment should be supplemented by the criterion of sustainability.

By-election to the Board

Due to Géraldine Savary who is going to step down (former State Councillor SP/VD) a new member for the Board of Directors will be proposed for election. In accordance with the Articles of Association (Article 9.3.2) apart from SUISA members entitled to vote and be elected, “persons who, on grounds of their position or expertise, have a special involvement with SUISA’s activities” can be elected to the Board of Directors. As a consequence, there were active or former Parliamentarians throughout many years who were members of the Board of Directors who bring valuable experience to SUISA with their expertise.

The Board of Directors therefore proposes that Johanna Gapany (State Councillor FDP/FR) to be newly elected to the SUISA Board of Directors.

Johanna Gapany started her political career in her younger days. This led her from the General Council to the Municipal Council of Bulle, she took a seat in the Grand Council of the Canton of Fribourg from 2016 to 2019 until she was elected in 2019 as the first woman of the Canton of Fribourg to the Council of States. A graduate in business economics, she brings professional experience as a marketing manager in various companies and as a communications manager in a private hospital in Fribourg.

Even though there will be no physical General Meeting in 2021, members with voting rights will be able to have their say on SUISA’s business in writing. We invite you to use this opportunity and to vote!

SUISAʼs General Meeting approved the emergency fund for composers, lyricists and publishers of music in the amount of CHF 1.5 million. In addition, Swiss yodeller, singer, composer and publisher Melanie Oesch was elected to the SUISA Board. For the first time in SUISAʼs history, the General Meeting was held in written form due to the Covid-19 pandemic this year. SUISAʼs General Meeting should have been held this year on 26 June at the Bierhübeli in Bern. Due to the Covid-19 pandemic and the ban on events imposed in March, the SUISA Board decided in April to hold the General Meeting in written form. For the first time in the Cooperativeʼs history, SUISA members were able to vote and elect by post and, in the case of some members from abroad, by e-mail.

Covid-19: Emergency fund for authors and publishers

In addition to statutory business such as approving the annual accounts or granting the discharge to the SUISA Board and the auditing firm BDO, the emergency fund for authors and publishers was one of the most important items on the agenda of this yearʼs General Meeting. In view of the current precarious situation for music professionals, the SUISA Board decided on 6 April 2020 that SUISA should make additional funds available to cover losses in copyright royalties incurred by SUISA members due to the cancellation of events and closure of businesses ordered by the authorities. The fund of CHF 1.5 million is intended to compensate composers, lyricists and publishers of music who find themselves in distress as a result of the corona crisis for proven loss of SUISA-related income. The General Meetingapproved the relief fund by a large majority.

Michael Hug elected to the Distribution and Works Commission

In addition, two by-elections were held at this yearʼs General Assembly. To replace Grégoire Liechti, who was elected to the SUISA Executive Committee last year, music publisher Michael Hug was elected to the Distribution and Works Commission (VWK) for the current term of office until 2023.

Michael Hug is Managing Director of the Ruh Musik AG publishing house, founded in 1910. The publishing house is nationally and internationally renowned for the publication of wind music; the catalogue also includes numerous works of classical and choral music. Michael Hug and his wife took over the company from his father in 2009. He recognised the signs of the times early on and digitised his entire catalogue. In 2012, the foundation for music promotion of SUISA, the FONDATION SUISA, awarded him a prize for his digital distribution platform for sheet music; at the time, the jury particularly emphasised his innovative spirit and sustainable concept. Michael Hug is 55 years old and – like all his predecessors in the publishing house – is also musically active himself.

Melanie Oesch new on the SUISA Board of Directors

A by-election was also necessary for SUISAʼsBoard of Directors, following the unexpected death of Reto Parolari, conductor, composer and long-standing member of theBoard, in December 2019. The Swiss yodeller, singer, composer and publisher Melanie Oesch (Oeschʼs die Dritten) was newly elected to SUISAʼs Boardfor the current term of office until 2023.

Melanie Oesch is, as part of Oeschʼs die Dritten, one of the most successful representatives of traditional folklore music. Melanie Oesch is 33 years old and has been a member of SUISA since 2006.

In a video interview, she tells us what SUISA means to her: “SUISAʼs work is very important to me. I would never have the time to claim the money I am entitled to everywhere myself and I also lack the knowledge about it.” She particularly appreciates SUISAʼs expertise: “I am glad SUISA has so many professionals who have been working on this issue for years and who are committed to it”, says Melanie Oesch.

Melanie Oesch was very pleased and honoured by the question whether she would like to become a member of the Board. She would like to bring her experience as a folk musician to the Board: “In folk music there are many pieces which are very old. It is often not clear whether the composers are still alive and where [the pieces] are published.” The type of pieces in folk music is also special. “For example, a yodel doesnʼt have a classical text, and yet it has a kind of text,” explains the Bernese-born artist.

As a member of the Board, Melanie Oesch would like to change something about the disagreements between organisers and artists. According to her assessment, certain organisers feel disadvantaged because they are small and have the feeling of having to pay a lot anyway. She would like to improve mediation between SUISA and the organisers.

    • The fund approved by the General Meeting is intended to compensate members, principals and clients in need and in distress due to the COVID-19 crisis, for SUISA income they demonstrably missed out on. They have the possibility to submit an online application on the member portal “My Account”. The application must prove that the affected person has suffered losses due to a lack of copyright income and that there is a state of need. No sooner had SUISA announced its best results in its 96-year history, than a general ban was imposed on all public events, and all venues were shut down in March 2020, triggering an unprecedented negative record: one after the other, concerts, shows and dance events were cancelled. Overnight, bookings were struck from musicians’ calendars. In concert venues, musical instruments fell silent.

This cannot fail to impact SUISA’s business. Owing to the coronavirus pandemic, we are currently assuming that SUISA’s total revenues – and therefore the amount available for distribution – will fall by up to 25% by the end of 2020. Nobody can tell for sure today, much will depend on how the epidemic develops here and abroad, but a hefty recession seems imminent. It will take time to get back to normalcy, and we expect recovery to be no more than hesitant next year too.

In this crisis, SUISA is determined to prove itself a reliable partner both for music creators and music users. Appropriate measures have been put in place to support musicians, and an accommodating approach has been adopted towards customer payments. Meanwhile, new online forms of music performance are becoming more important as a source of royalties. Streaming may be the technology of the hour, but it only brings authors and music publishers a fraction of the revenues generated by live concerts.

SUISA has remained and remains active during the corona crisis. We are the hub for inquiries from members and customers. Although there are fewer events, we intend to maintain and even expand our services through automation. Unfortunately, the Board and the Executive Committee will not be able to welcome members personally to the General Meeting in Bern this year. To have a say in SUISA’s affairs, members will have to send in their vote by post. We encourage you to make use of this opportunity.

In any event, the employees at our three offices in Zurich, Lugano and Lausanne remain at your disposal. When work is slow, staff will be able to attend training courses; moreover, we are working full speed to develop online self-service services to give you more time to focus on your strengths. Making music, innovating, promoting. Despite the corona crisis, I wish you a challenging and productive summer.

No General Meeting 2020 – but voting by correspondence instead

Due to the coronavirus pandemic, the General Meeting cannot take place in its usual form. However, members with voting rights may still have a say in the destiny of their SUISA Cooperative by casting their votes by letter. Text by Andreas Wegelin

No General Assembly 2020 – but voting by correspondence instead

This yearʼs General Meeting, the annual highlight of social life at the SUISA Cooperative, should have taken place on Friday, 26 June 2020, at 11 a.m. at the Bierhübeli in Bern. However, this is not possible because of the corona pandemic, even if it is not yet known exactly when the ban on assembly will be relaxed for which size of events. In any case, the organisation of a general meeting requires a preparation time of about two months.

The Board therefore decided on 29 April 2020 that this yearʼs General Meeting can only be held by correspondence by way of exception. This decision is in conformity with the Federal Council guidelines in the Covid-19 Ordinance 2. In the sense of emergency law, the latter exceptionally permits running an GA in such a way, although the process of forming an opinion will be restricted due to the fact that there will be no “live” discussion at the GA.

1. Organisational execution

From 27 May 2020, all members with voting rights will receive an invitation by mail to participate in the postal vote on the resolutions of the General Meeting. The members entitled to vote have the opportunity to return the completed personalised voting form as soon as they receive the invitation. The letter with the voting form must reach SUISA by 26 June 2020.

The results of the votes are then counted by the election office headed by Dr. Bernhard Wittweiler (head of SUISAʼs Legal Department).

On 30 June 2020, the results of the vote and election will be formally established by the President, the Secretary (who will be in charge of the minutes), the CEO and the Head of the Legal Department on the basis of the count and published on the SUISA website on the same day.

The submitted voting documents are confidential and will be kept until the end of the period of appeal (two months after the resolution is passed, 31 August 2020) and then destroyed.

2. Agenda of the vote by correspondence instead of the 2020 GA

In addition to the usual statutory business – acceptance of the minutes, resolutions on the annual accounts, the management report and the annual report of the SUISA Cooperative and the SUISA Group – two seats on committees must also be filled.

2.1 By-election for the Board
Our long-standing board member Reto Parolari passed away suddenly and completely unexpectedly on 15 December 2019. The Board proposes to elect Melanie Oesch as successor to the Board.

Melanie Oesch grew up near Thun in the canton of Bern and attended the music high school in Thun. She appeared on stage for the first time at the age of five and inspired the audience with her unique tongue twisting. With her many ideas and plans, Melanie is, in many areas, the creative mind at Oeschʼs die Dritten.

Oesch’s die Dritten are a Swiss folk music group from the Bernese Oberland, consisting of Hansueli and Annemarie Oesch, their children Melanie, Kevin and Mike and accordionist Urs Meier. Their breakthrough in the German-speaking world came in 2007: Oeschʼs die Dritten won the young talent competition of the “Musikantenstadl” and since then have been a regular guest in various folk music programmes on television and at major folk music events. In October 2008, they won with the Ku-Ku yodel in the SRF-1 programme “The greatest Swiss hits”. Melanie Oesch revolutionises a certain form of yodelling and contributes to the spread of folk music through her musical activity. Among other things, she was an exceptional yodeler in Stefan Raabʼs “TV total”. Then there was the duet with Helene Fischer, in their Christmas show 2016, which convinced fans and non-fans alike. As an author, she has published two childrensʼ books together with the illustrator Christina Wald.

Melanie Oesch has been a member of SUISA as an author since 2006. The Oesch Music Verlag, which she heads, is also a member of SUISA. She is also a member of the “Phono Performers” expert committee at Swissperform.

2.2 By-election for the Distribution and Works Committee
At the last General Meeting, Grégoire Liechti was elected to SUISA’s Board of Directors. He therefore resigned from the Distribution and Works Committee. The Board proposes Michael Hug from the publishing category as replacement. He is the Managing Director of Ruh Musik AG and leads the family business, founded in 1910, in the 4th generation. Ruh Musik is nationally and internationally known for the publication of brass music; the catalogue also includes numerous works of classical and choral music. Ruh Musik is a sub-publisher for several renowned brass music publishers and has also expanded its catalogue in recent years to include publishers such as Edition Cron Lucerne and Belgano.

Michael Hug and his wife took over the company from his father in 2009. He recognised the signs of the times early on and digitised his entire catalogue. In 2012, he was awarded by the FONDATION SUISA as a publisher for his digital distribution platform for sheet music; the jury particularly praised his innovative spirit and sustainable concept.

Even in times of crisis, shaping SUISAʼs future is important. Due to the stepping down of a member of the Distribution and Works Committee (DWC), a new member needs to be elected during SUISA’s next General Assembly at the Bierhübeli in Berne on 26 June 2020.

So that the weighting of the various categories is safeguarded, the interested candidate should come from the publishers’ ranks.

Candidates’ requirements

If you are a SUISA member with an active and passing voting right, you fulfil one of the requirements for a candidacy. You should understand the future impact of decisions taken today and not only represent your own interests but also those of other authors and publishers. The DWC meetings take place twice a year, in Berne, which means that you need to cater for one day per meeting (including travel to and from the venue and a joint lunch). The preparation time for such meetings includes the thorough study of the meeting documents which are made available electronically.

Who or what is the Distribution and Works Committee?

The DWC is a committee of the SUISA General Assembly and consists of 22 members who represent all music genres, regions and languages of Switzerland and the Principality of Liechtenstein. Composers, music publishers and lyricists sit on the committee. Finally, a balanced age and gender mix is also paramount.

Duties of the DWC

The Distribution and Works Committee is dealing primarily with questions on the distribution which is governed by the distribution rules. It performs the following duties:

  • Checks the provisions of the Distribution Rules and their implications on distribution proceeds;
  • Proposes amendments to the Distribution Rules to the Board;
  • As a first instance, handles appeals against Executive Committee decisions on the classification of broadcasting programmes, copyrightability of works and arrangement of non-protected works;
  • Evaluates in an advisory capacity unauthorised adaptations of protected works and cases of plagiarism.

A look back at the SUISA General Meeting 2019

‘Spherical, but more angular than trip hop, more emotionally charged than pop music and as organic as folk’ – that’s how SUISA Vice President Marco Zanotta described Zurich musician Annakin, who opened SUISA’s General Meeting. Together with guitarist Simon Rupp, Philipp Kuhn on keyboards and beatboxer Marzel (alias Marcel Zysset), Annakin – otherwise known as Ann Kathrin Lüthi – played songs from her latest album The End of Eternity, as well as ‘Sting Of Love’ from her 2014 album Stand Your Ground.

While the stage was being rearranged after the brief concert, the assembled SUISA members, guests and SUISA employees were able to watch a video that explained how ‘She Got Me’, the Swiss entry to the Eurovision Song Contest sung by Luca Hänni, came about. The song was written in June 2018 at the SUISA Songwriting Camp by SUISA member Luca Hänni with Canadian songwriters Laurell Barker and Frazer Mac and Swedish producer Jon Hällgren. ‘She Got Me’ reached an outstanding fourth place at the Eurovision grand final, has been streamed more than 30 million times and topped the Swiss single charts.

More women in music

In his welcoming address, SUISA President Xavier Dayer took the occasion of the Swiss women’s strike, which had taken place a week before, as impetus to discuss the proportion of women in music. Women currently represent 16% of SUISA members – leaving plenty of room for improvement. This is one of the reasons that SUISA entered into a partnership with Helvetiarockt in 2019, and invited the coordination and networking centre for jazz, pop and rock musicians to bring an information stand to the general meeting.

Members then approved the Annual Report and Management Report. Also approved were SUISA’s first-ever consolidated accounts, reflecting contributions from the two subsidiaries SUISA Digital Licensing AG and Mint Digital Services in 2018. The general meeting also discharged the Board of Directors, the management team and statutory auditor, and confirmed the mandate for the auditor BDO for 2019.

Sylvie Reinhard and Grégoire Liechti elected to the SUISA Board of Directors

For long-serving Board members Bertrand Liechti and Marco Zanotta, this was their last General Meeting – they are retiring from the SUISA Board after 20 years due to the term limit. In their place, SUISA members elected Sylvie Reinhard, an entrepreneur and Chairwoman of the Board of Directors of the digital magazine ‘Republic’, and Geneva-based music publisher Grégoire Liechti to the Board of Directors. The other 12 Board members, along with the members of the Distribution and Works Committee, were confirmed in office with no objections. At the recommendation of the SUISA Board, the general meeting also elected Marco Zanotta to the ComplaintsCommittee, which was established in 2018.

With the revision in 2018 of SUISA’s Articles of Association and the associated extended responsibilities of the General Meeting, the assembled members voted for the first time on compensation regulations for members of the Board and its committees, and on SUISA’s general investment policy.

Resolution calling for fair copyright legislation

Guest speaker Géraldine Savary, federal councillor and member of the SUISA Board, talked about the ongoing revision of Switzerland’s copyright legislation. In particular, she touched on two points that are critical for music creators. First – if the National Council has its way – hoteliers, owners of holiday homes, hospitals and prisons would not be required to pay copyright fees if their guests, patients or inmates listen to music or watch films on the radio/television devices provided. Second, the new copyright law stipulates a compensation regulation for video on demand (VoD) services that would work in favour of film-makers but would be counter-productive for music creators, as they have already negotiated contractual solutions with the VoD platforms. Accordingly, the use of music must be excluded from this new VoD regulation. The General Meeting passed a resolution in order to draw National Council attention to the importance of these two points in its forthcoming autumn session.

This was followed by updates on the current financial year from Vincent Salvadé, Irène Philipp Ziebold and Andreas Wegelin. Urs Schnell, Director of FONDATION SUISA, then reported on how SUISA’s music promotion foundation had performed in the financial year.

At about 2 pm, Xavier Dayer brought the General Meeting to a close and gave notice of the next General Meeting, which will take place on Friday, 26 June 2020 at the Bierhübeli in Bern.

Afterwards, participants enjoyed a light lunch in the foyer of the Kongresszentrum, an opportunity for SUISA employees, guests and colleagues to talk, sign resolutions, find out about Helvetiarockt projects at the organisation’s stand or even initiate new projects.
